All goods are supplied by the company on the following terms and no person in the employment or acting otherwise as agent of the company or purporting so to do has the authority to accept orders os supply goods on any other conditions or to vary these terms in any way whatsoever. Acceptance of the goods from the Company shall be conclusive evidence that these terms apply.

1. The intending purchaser acknowledges that before entering into an agreementfor the purchase of goods from the Company he has expressly represented and warranted that he is not insolvent and has not committed any act of bankruptcy or being a company with limited or unlimited liability knows of no circumstances which would entitle any debenture holder or secured creditor to appoint a Receiver to petition for winding up of the company or exercise any other rights over or against the company's asset.

2. Goods supplied by the Company shall remain the sole and absolute property of the Company as legal and equitable owner and title and ownership shall not pass to the intending purchaser until the Company has received full payment (and all cheques have been cleared) for such goods. Without prejudice to any rights which the Company may have, or which may arise under the contract for sale or otherwise, the Company shall be entitled to terminate the contact for sale and/or repossess the goods at any time before payment in full has been received and whether or not payment has become due or any credit allowed has expired. At all reasonable times access shall be afforded to the company's representatives to any premises where any goods shall be situate for the purpose of repossessing such goods and all reasonable assistance shall be rendered in recovering the same.

3. Such goods shall be at the risk of the intending purchaser from the time of collection or delivery and until title passes on full payment the intending purchaser shall keep the goods as a bailee and if required shall store the goods in such a way that they can be identified.

4. Deposits may not be refundable.

5. The intending purchasers right to possession of the goods shall cease if he, not being a company, commits an available act of bankruptcy or if he, being a company, does anything or fails to do anything which would entitle any person to present a petition for winding up. The Company may for the purpose of recovery of its goods enter upon any premises where they are stored or where they are reasonably thought to be stored and may repossess the same.

6. Subject to the terms hereof the intending purchaser is licensed by the Company to agree to sell the Company's goods, subject to express condition that such sale shall take place as agents, safe that the intented purchaser shall not hold himself out as such and bailees for the Company and that the proceeds of such sale up to the limit of the amount owing to the Company in respect of the goods are held in trust for the Company and are not mingled with other monies or paid into any overdrawn bank account and shall at all times be identifiable as the Comapny's monies.

7. If the intending purchaser has not received the proceeds of any such sale, he will if called upon so to do by the Company, within seven days thereof assign to the Company all rights against the person or persons to whom he has supplied the goods.

7.1 The products are sold as seen, and no other contractual description is attached or ascribed to them. Where the goods have been sold unseen by the Seller, it is for the buyer to inspect the products and satisfy himself that they are free from defect and that they fulfil his requirements. The products are therefore sold with all faults imperfections and defects latent or otherwise. Subject only to above all conditions, warranties and terms, undertakings and obligations implied by statute, common law, custom, trade usage or otherwise (including without prejudice to the generality of the foregoing, any implied condition, warranty or undertaking of the correspondence of the products with any contract description given, merchantable quality, or fitness for a particular purpose), are hereby wholly excluded.
